TERMS AND CONDITIONS OF USE FOR WWW.BINGHAMCUP.COM

Please read these terms and conditions carefully.   Your use of the BINGHAMCUP.COM website (the “Site”) and your participation in the Bingham Cup constitutes acceptance of these terms and conditions.   If you do not accept the terms and conditions, then you should not use the Site or participate in the Bingham Cup.

Who Are We?

The Site is operated by BC08 Dublin Limited, a guarantee company without a share capital with Company Number 434841 and its registered office at 62 St. Alban's Road, Dublin 8 (referred to herein as “we”, “us” or “our”).

Our Services

Limited access to the Site is available to all Internet users. Only registered users who have been issued with a valid Username and Password (“Members”) may use the members' area of the Site.   To register a team with us, you must properly complete the online registration form and make all required payments.

In return for your payment, we will do the following:

•  enter your team in the Bingham Cup;

•  organise times, venues and referees for your team fixtures;

•  allow Members to input their team data; and

•  operate the Site.

We do not control the content of any data inputted by users of the Site. However, we will aim to rectify errors when they are notified to us.   We do not own or maintain the pitches or facilities where fixtures are played and cannot therefore be responsible for them.   Teams are expected to supply their own kit and footballs.

Insurance

We do not provide insurance for players playing in the Bingham Cup.   All players are required to have their own medical insurance to participate in the tournament.   This insurance is often organised via the player's club policy but ultimately it is the responsibility of each individual player to ensure they obtain appropriate levels of insurance.   We will not be reviewing each individual player's insurance policy.   Your acceptance of these terms and conditions shall constitute confirmation by you that you have obtained adequate medical insurance cover.  

Use of our Website

Subject to these Terms and Conditions, members are authorised to view the Site solely for their own personal, non-commercial use.   You may not copy or reproduce any content on the Site other than in the normal course of viewing the Site using your Internet browser.   No material from the Site may be otherwise copied, reproduced, republished, uploaded, posted, transmitted, or distributed.   You may only enter the Members' Area of the Site if you or your team have been allocated a valid Username and Password.   You are not authorised to access the Members' Area of any teams other than your own.   The use of any content (including software) from the Site on any other website or networked computer environment is prohibited.

As a user of the Site, you are responsible for your own communications and are responsible for the consequences of their posting.   You must not do the following things:

•  impersonate another person;

•  post material that breaches, or may breach, criminal law;

•  post material that infringes on any intellectual property rights of others or on the data protection, privacy or publicity rights of others;

•  post material that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to another User or any other person or entity; or

•  post advertisements or solicitations of business.

You agree not to use the Site or cause it to be used:-

•  so as to jeopardise or prejudice the operation, quality or integrity of the Site or the operation, quality or integrity of any telecommunications network;

•  for any commercial purpose including any surveys, contests or pyramid schemes, nor to use the Site to participate in or cause others to participate in sending chain letters, junk e-mail, spam, duplicative or unsolicited messages, advertising or promotional material;

•  to harvest or otherwise collect information about others, including e-mail addresses, without their consent;

•  to distribute, download, upload or transmit any material which contains viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful, vexatious or deleterious programs; or

•  contrary to the terms and conditions of any Internet Service Provider whose services you may use.

Software Licences

In the event you download software from the Site, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed to you by us solely for the purpose of using the Site in accordance with these Terms and Conditions .   We do not transfer title to the Software to you.   The User may own the medium on which the Software is recorded, but we retain full and complete title to the Software, and all intellectual property rights therein.   You may not redistribute, sell, decompile, reverse-engineer, disassemble, or otherwise reduce the Software to a human-perceivable form (except as permitted by law).

Fees and Payment

[All fees will be invoiced to the invoice party specified in the team's application for registration.   Prices exclude VAT.   All fees must be paid in full prior to [ insert relevant date ]. We reserve the right to expel or suspend teams who have not made payment in full.]

Cancellation

Individual players or teams may be expelled or suspended from the competition for any breach of these Terms and Conditions or the rules applicable to the competition as specified on the Site.   No refund of fees will be permitted if you or your team are expelled or suspended from any of our competitions.

Limitation of Liability

As the Site is reliant upon the data supplied by Members, the Site may contain inaccuracies or typographical errors.   We make no representations about the accuracy, reliability, completeness, or timeliness of the content on the Site or about the results to be obtained from using the Site.   The use of the Site is entirely at your own risk. Changes are periodically made to the Site and may be made at any time.   The Site is provided on an "as is" basis without any warranties of any kind.   We disclaim, to the fullest extent permitted by law, all conditions and warranties, express or implied including any terms as to merchantability and fitness for particular purpose.   We make no warranties about the accuracy, reliability, completeness, or timeliness of the material, services, software, text, graphics or links.

We shall not be liable, and shall not otherwise be deemed to be in breach of these Terms and Conditions, for any failure to perform (or delay in performing) any of our obligations hereunder caused by circumstances beyond our reasonable control.

YOUR PARTICIPATION IN THE BINGHAM CUP IS ENTIRELY AT YOUR OWN RISK.   THE ORGANISERS AND ANY OF ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR ANY INJURY OCCURRING TO ANY PLAYERS OR DAMAGE TO THEIR PROPERTY.

IN CONSIDERATION OF BEING ALLOWED TO PARTICIPATE IN ANY WAY IN THE BINGHAM CUP AND RELATED EVENTS AND ACTIVITIES, YOU AGREE TO THE FOLLOWING AND AGREE TO BRING THE FOLLOWING TO THE ATTENTION OF ALL YOUR TEAM MEMBERS:

•  Prior to participating in the Bingham Cup, each of your team will inspect the facilities and equipment to be used, and if they believe anything is unsafe, they will immediately advise the referee of such condition(s) and refuse to participate;

•  You acknowledge and fully understand that each participant will be engaging in activities that involve risk of serious injury, including permanent disability and death, and severe social and economic losses which might result from their own actions, inaction or negligence of others, the rules of play, or the condition of the premises or any equipment used.   Further, that there may be other risks not known to us or not reasonably foreseeable;

•  You assume all the foregoing risks and accept personal responsibility for the damages following such injury, permanent disability or death;

•  You release, waive and discharge the Organisers, its directors, agents, referees, or employees, other participants, sponsoring agencies, sponsors, advertisers, and if applicable, owners and lessors of premises used to conduct the event, all of which are hereinafter referred to as "releasees", from demands, losses or damages on account of injury, including death or damage to property, caused or alleged to be caused in whole or in part by the negligence of the releasee or otherwise.

If notwithstanding the other provisions of these Terms and Conditions, we are found to be liable to you, you agree that our total liability to you will not exceed the amount of fees paid by you or your team to us in the previous twelve months.

Advertisements, Endorsements, Linking and Framing

The Site contains links to third party websites.   These links are provided solely as a convenience to you and not as an endorsement by us of the contents on such third party websites.   We are not responsible for the content of linked third party sites and do not make any representations regarding the content or accuracy of materials on such third party websites.   If you decide to access linked third-party websites, you do so at your own risk.

Your correspondence with or participation in, or dealings with, third party vendors (including promotions of advertisers or sponsors found through the Site) and payment and delivery of goods or services, are solely between you and such vendors.

We generally welcome the hyper-linking to the Site from other appropriate websites provided such links are to the Site's homepage (and no deeper within the Site) and provided we give consent to the establishment of such links.   Notwithstanding the foregoing, we reserve the absolute right to refuse to consent to such links without giving reasons.   Any links to the Site from another website must be presented in such a manner that the viewing of the Site is not impaired by framing or similar techniques that may impair the visitor's user experience.

Privacy Policy

Any personal data which you provide us will be held by the Organisers or our successors or assigns for the purposes of administering the Site and providing you with information about our events and other events which you may be interested in.   A separate Privacy Policy is available on our Site and Users are advised to review this policy.

General

This Agreement shall be governed by and construed in accordance with the laws of Ireland and the parties hereto submit to the jurisdiction of the Irish Courts.

If any provision of these Terms and Conditions shall be prohibited by or adjudicated by a court of competent jurisdiction to be unlawful, void or unenforceable, such provision shall to the extent required be severed from these Terms and Conditions and rendered ineffective as far as possible without modifying the remaining provisions of these Terms and Conditions and shall not in any way affect any other circumstances or the validity or enforcement of these Terms and Conditions.
